The Legal Department is headed by Ms. Amber Darr, Executive Director. It operates under the direct guidance of the Chairman and is mandated to manage the legal affairs of SECP and provide impartial legal advice to each operational Division and Department of the SECP.

OBJECTIVE

The objective of the Legal Department of the Securities and Exchange Commission of Pakistan is to manage its legal affairs.

ORGANIZATIONAL STRUCTURE
FUNCTIONAL PROFILE

General Wing
The General Wing is the umbrella wing of the Legal Department.  It assists the Executive Director (Law) in all matters pertaining to the Legal Department. 

Advisory Wing (Internal & External)
The Advisory Wing provides impartial legal advice to:

(a)   the operational Divisions and Departments of the SEC (Internal Advice); and

(b)   Federal Government departments that refer advisory work to the SECP for seeking its expertise
in corporate and financial matters (External Advice).

Litigation Wing
The Litigation Wing manages litigation on behalf of SECP.  In this regard, the Litigation Wing is assisted by the operational Division or Department of the SECP in which the case arises. 

Adjudication and Review Wing
The Adjudication & Review Wing is responsible for vetting and drafting of the following:

(a)   orders, notifications, circulars and notices;

(b)   contracts and memoranda of understanding; and

(c)   working papers and concept papers

Legislation Wing
The Legislation Wing is entrusted with drafting and vetting legislation for the SECP.  In addition, the Legal Department may also be referred legislation for drafting and/or vetting from the Federal Government.

Presently, there are no draft amendments in process.

The SECP has established the Corporate Laws Review Commission to review the Companies Ordinance, 1984.  The Legal Department is assisting the CLRC in this important task.
